Introduction

Welcome to Jumptag Club, an interconnected system of physical virtual services provided by JUMPTAG CLUB. These Terms of Service ("Terms") govern your access to and use of our website, products, and services ("Services"). Please read these Terms carefully, and contact us if you have any questions.

By accessing or using our Services, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree to these Terms and the Privacy Policy, do not use our Services.

Definitions

1. "Jumptag" refers to the physical dog tag product that contains a dynamic QR code.
2. "Jumplink" refers to the unique URL associated with each Jumptag, which can be claimed and customized by the user. The format of the Jumplink is jumplink.app/u/#######.
3. "User" refers to any person or entity that uses our Services.
4. "Content" refers to any data, text, links, media, or any other content that a user posts, uploads, or otherwise makes available through our Services.

Eligibility and Account Registration

To use our Services, you must be at least 13 years old, or the age of majority in your jurisdiction, and fully able and competent to enter into the terms, conditions, obligations, affirmations, representations, and warranties set forth in these Terms, and to abide by and comply with these Terms.

When you create an account, you must provide us with accurate and complete information, including your first and last name, birthdate, and email address. This information is collected to verify your age, establish your identity, and ensure we have a valid and authenticated way to contact you.

Any use or access by anyone under the age of 13 is prohibited. If you open an account on behalf of a company, organization, or other entity, then (a) "you" includes you and that entity, and (b) you represent and warrant that you are authorized to grant all permissions and licenses provided in these Terms and bind the entity to these Terms, and that you agree to these Terms on the entity's behalf.

These Terms apply to all users of the Services, including users who are also contributors of content, information, and other materials or services on the Services, and even those who do not create an account or make a purchase. By accessing or using our Services, you agree to be bound by these Terms.

Use of Services

Jumptag Club provides a platform for users to purchase and use Jumptags, each of which is associated with a unique Jumplink. The Jumplink is a dynamic URL that can be claimed and customized by the user. The Services allow users to create an account, claim a Jumplink, and customize the destination of that Jumplink.

Our Services include:

1. Purchase of Jumptags: Users can purchase Jumptags through our platform. Each Jumptag contains a unique QR code that corresponds to a unique Jumplink.
2. Claiming of Jumplinks: Once a user has purchased a Jumptag, they can claim the associated Jumplink by creating an account and following the claim process.
3. Personalization of Jumplinks: Once a Jumplink has been claimed, the user can customize the destination of the Jumplink. This allows the user to direct anyone who scans the QR code on their Jumptag to a destination (URI or URL-based) of their choice.
4. Account Management: Users can manage their account settings, including their personal information and Jumplink settings.

Our Services are currently in beta, which means that they are still in development and testing. As a result, the Services may contain bugs, errors, and other issues. We reserve the right to modify, suspend, or discontinue our Services at any time without notice.

Commercial, Political, and Religious Use

Permitted Use: Users are generally permitted to use the Jumptag for a broad free-range of purposes, including promoting their own businesses, products, or services. However, all such use must comply with all other terms and conditions set forth in this agreement.

Right to Refuse or Restrict: Notwithstanding the above, Jumptag Club reserves the right, at its sole discretion, to refuse or restrict the use of the Jumptag and all of its IP on a case by case basis for commercial, political, or religious purposes by any user or entity for any reason whatsoever or without any reason disclosed. This applies unless a superseding written agreement has been formally established with a partnering entity between it and Jumptag Club specifying a clear scope of use.

Compliance and Damages: By using the Jumptag and any of its IP, you agree to comply promptly with any request by Jumptag Club to cease, remove, or retract content, uses, public endorsements, or other activities related to the Jumptag. You further agree that failure to comply with such a request may result in legal action to compel compliance, and you agree to pay all damages, costs, and expenses (including reasonable attorneys' fees) incurred by Jumptag Club in connection with such legal action or in recovering any losses or damages suffered by Jumptag Club as a result of your non-compliance.

Notification: In the event of such refusal, restriction, or request for compliance, Jumptag Club may notify the affected user or entity and may require immediate cessation of the specified use.

Prohibited Conduct

By using the Jumptag Club services, you agree not to:

1. Use the services for any illegal purpose, or in violation of any local, state, national, or international law.
2. Violate or encourage others to violate the rights of third parties, including intellectual property rights.
3. Post, upload, or distribute any content that is unlawful, defamatory, libelous, inaccurate, or that a reasonable person could deem to be objectionable, profane, indecent, harassing, threatening, hateful, or otherwise inappropriate. Adult content is permitted, provided it is legal in your jurisdiction and does not involve minors in any way.
4. Interfere in any way with security-related features of the services, including by: (a) disabling or circumventing features that prevent or limit use or copying of any content; or (b) reverse engineering or otherwise attempting to discover the source code of any portion of the services except to the extent that the activity is expressly permitted by applicable law.
5. Interfere with the operation of the services or any user’s enjoyment of the services, including by: (a) uploading or otherwise disseminating any virus, adware, spyware, worm, or other malicious code; (b) making any unsolicited offer or advertisement to another user of the services; (c) collecting personal information about another user or third party without consent; or (d) interfering with or disrupting any network, equipment, or server connected to or used to provide the services.
6. Perform any fraudulent activity including impersonating any person or entity, claiming a false affiliation, accessing any other services account without permission, or falsifying your age or date of birth.
7. Impersonate or misrepresent your affiliation with Jumptag Club, or suggest in any way that you are an employee, partner, or representative of Jumptag Club without express written permission.
8. Use the services to phish, deceive or mislead users into providing sensitive information under false pretenses.
9. Use automated methods or data mining techniques to access, extract, collect or harvest information from the services without the express written permission of Jumptag Club.
10. Attempt to do any of the acts described in this section, or assist or permit any person in engaging in any of the acts described in this section.
11. Sharing media depicting excessively gory content, sexual violence and/or assault, bestiality or necrophilia is not permitted.
12. Jumptag Club does not permit the sharing or receiving of specific sensitive media, such as adult nudity and sexual behavior, for users who are under 18.
13. Jumptag Club has zero tolerance for child sexual exploitation and the sharing of any related content.

Violation of our rules of conduct may result in the immediate termination of your account and access to our services, without prior notice and without refunds. If any user notices a violation, they are implored to please contact support@jumptag.app to report it and we will investigate and take any necessary actions to remedy the situation.

Modifications to Services

We are constantly changing and improving our Services, especially as we are in a Beta currently. We may add or remove functionalities or features, and we may suspend or stop a Service altogether. We may also modify or terminate our Services for any reason, and without notice, without liability to you, any other user, or any third party. We reserve the right to modify these Terms at any time, in our sole discretion. If we do so, we'll let you know either by posting the modified Terms on the Site or through other communications.

As our Services are currently in a beta testing phase, they are subject to change and may not work as expected. We appreciate your understanding and patience during this time.

Your continued use of the Services after the effective date of any changes to the Terms constitutes your acceptance of the new Terms. If you do not agree to any new Terms, you should stop using the Services.

Intellectual Property Rights

All content, trademarks, service marks, trade names, logos, and all other intellectual property rights related to Jumptag Club ("Jumptag Club IP") are the sole property of Jumptag Club and its licensors. You agree not to use the Jumptag Club IP for any purposes other than as provided for in these Terms, unless authorized by Jumptag Club in writing.

You acknowledge and agree that the Jumptag Club services and any necessary software used in connection with the services contain proprietary and confidential information that is protected by applicable intellectual property and other laws. You further acknowledge and agree that content contained in sponsor advertisements or information presented to you through the services or advertisers is protected by copyrights, trademarks, service marks, patents or other proprietary rights and laws.

By using our services, you are granted a limited, non-exclusive, non-transferable, revocable license to use the Jumptag Club services (including the Jumptag and Jumplink) as we intend for them to be used. As a user, you do not receive any ownership interest in the Jumptag Club services; you merely receive the right to use the services in accordance with these Terms.

Nothing in these Terms or through the use of the Jumptag Club services constitutes a partnership, employment, agency, or joint venture relationship between you and Jumptag Club.

You agree not to use the Jumptag Club IP in a way that may cause confusion about our ownership of such intellectual property rights, or in a manner that is misleading, defamatory, infringing, libelous, disparaging, obscene or otherwise objectionable to Jumptag Club.

User Content

You retain all ownership rights to the content you upload or post through our services ("User Content"). However, by uploading or posting User Content, you grant Jumptag Club a non-exclusive, royalty-free, worldwide license to use, display, and distribute your User Content in connection with the services. You represent and warrant that you have all necessary rights to the User Content and that your User Content does not violate any laws or the rights of any third parties, including intellectual property rights and rights of privacy or publicity.

Third-Party Content

Our services may contain links to third-party websites or services that are not owned or controlled by Jumptag Club. We do not endorse or assume any responsibility for any such third-party sites, information, materials, products, or services. If you access a third-party website or service from our services, you do so at your own risk, and you understand that these Terms and our Privacy Policy do not apply to your use of such sites.

Logo Usage

You are permitted to use the Jumptag Club logo to indicate that you are using Jumplinks or giving away Jumptags for your company, provided that such use does not suggest or imply a partnership, sponsorship or endorsement by Jumptag Club. You may not alter the logo or use it in a misleading manner, such as suggesting that Jumptag Club is sponsoring or endorsing you or your products or services.

Liability and Disclaimers

Jumptag Club provides the services on an "as is" and "as available" basis. We do not represent or warrant that the services will be uninterrupted, error-free, or free of viruses or other harmful components, or that any defects will be corrected.

To the fullest extent permitted by law, Jumptag Club disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Jumptag Club does not warrant the accuracy, completeness, or usefulness of the services or any content provided therein. Any reliance you place on such information is strictly at your own risk. We disclaim all liability and responsibility arising from any reliance placed on such materials by you or any other user of the services, or by anyone who may be informed of any of its contents.

Limitation of Liability

To the maximum extent permitted by law, in no event shall Jumptag Club, its affiliates, agents, directors, employees, suppliers or licensors be liable for any indirect, punitive, incidental, special, consequential or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data or other intangible losses, arising out of or relating to the use of, or inability to use, this service.

Arbitration

Any dispute, claim or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by arbitration in Pennsylvania, before one arbitrator. The arbitration shall be administered by JAMS pursuant to its Comprehensive Arbitration Rules and Procedures. Judgment on the Award may be entered in any court having jurisdiction.

Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision will be struck and will not affect the validity and enforceability of the remaining provisions.

Term and Termination

These Terms of Service are effective upon the user's acceptance as set forth herein and continue in effect until terminated.

Jumptag Club may terminate or suspend your access to the services at any time, for any reason, including but not limited to your violation of these Terms, or for no reason at all, with or without notice, and without liability to you. Upon any such termination or suspension, your right to use the Jumptag Club services will immediately cease, and Jumptag Club may, without liability to you or any third party, immediately deactivate or delete your user name, password and account, and all associated materials, without any obligation to provide any further access to such materials.

You may also terminate your agreement to these Terms at any time by discontinuing your use of the services and deleting your account. Please note that if your account is cancelled, we do not have an obligation to delete or return to you any content you have posted to the services, including, but not limited to, any reviews or feedback.

Please note that any fees paid by you prior to your termination are nonrefundable (except as expressly permitted otherwise by these Terms), including any fees paid in advance for the billing year during which you terminate. Termination of your account shall not relieve you of any obligation to pay any accrued fees or charges.

Changes to Terms of Service

Jumptag Club reserves the right to modify these Terms of Service at any time, in our sole discretion. If we make changes to these Terms, we will provide notice of such changes as appropriate, such as by sending an email notification, providing notice through our services, or updating the "Last Updated" date at the top of these Terms.

Your continued use of our services will confirm your acceptance of the revised Terms. If you do not agree to the amended Terms, you must stop using our services and delete your Jumptag Club account.

Please review these Terms periodically for changes. If a change is material, as determined in Jumptag Club's sole discretion, we will try to provide at least 30 days' notice prior to the effective date of any new terms.

Governing Law & Jurisdiction

These Terms and any dispute or claim arising out of or in connection with their subject matter or formation shall be governed by and construed in accordance with the laws of Delaware. You agree that the courts of Delaware will have exclusive jurisdiction over any dispute arising from or related to these Terms or our Services.

Dispute Resolution

You agree that any dispute, claim, or controversy between you and Jumptag Club arising in connection with or relating in any way to these Terms or to your relationship with Jumptag Club as a user of the Service (whether based in contract, tort, statute, fraud, misrepresentation, or any other legal theory, and whether the claims arise during or after the termination of these Terms) will be determined by mandatory binding individual (not class) arbitration.
